Terms of Service

Welcome to Voice Notes Lab. These Terms of Service (“Terms”) govern your access to and use of the Voice Notes Lab mobile application and related services (the “Service”) provided by Voice Notes Lab (“we,” “us,” or “our”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age in your jurisdiction to consent to use the Service) and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account and Registration

You may need to create an account to use certain features. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

3. Use of the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business use, in accordance with these Terms and our policies.

You agree not to:

• Use the Service for any illegal purpose or in violation of any law
• Upload, record, or share content that infringes others’ rights, is harmful, abusive, or offensive
• Attempt to gain unauthorized access to the Service, other accounts, or our systems or networks
• Reverse engineer, decompile, or attempt to extract source code from the Service (except as permitted by law)
• Resell, sublicense, or commercially exploit the Service except as we explicitly allow
• Use automated means (e.g., bots, scrapers) to access or use the Service without our permission

We may suspend or terminate your access if we believe you have violated these Terms or for other operational or legal reasons.

4. Your Content

You retain ownership of the content you create and upload (e.g., recordings, transcripts, notes). By using the Service, you grant us the license necessary to operate the Service—for example, to store, transcribe, summarize, sync, and display your content to you across your devices. Our use of your content is also described in our Privacy Policy.

You are solely responsible for your content. We do not endorse and are not responsible for any user content. We may remove content that we determine violates these Terms or our policies or is harmful to others.

5. Subscriptions and Payments

Some features may be offered under a paid subscription (e.g., premium transcription, summaries, sync). Subscription terms, pricing, and billing are presented at the point of purchase. Payment will be charged to your app store account. Subscriptions typically auto-renew unless cancelled before the end of the current period. Refunds are subject to the applicable app store’s policies and, where we have discretion, our refund policy communicated in the app or on our website.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to such processing.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TRANSCRIPTION AND AI FEATURES MAY NOT BE ACCURATE OR COMPLETE; DO NOT RELY ON THEM FOR LEGAL, MEDICAL, OR SAFETY-CRITICAL DECISIONS WITHOUT INDEPENDENT VERIFICATION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOICE NOTES LAB AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (OR $100 IF GREATER). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify and hold harmless Voice Notes Lab and its affiliates and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your violation of these Terms or any law.

10. Changes to the Service and Terms

We may modify, suspend, or discontinue the Service (or any part of it) at any time. We may also update these Terms. We will notify you of material changes by posting the updated Terms (and, where appropriate, in the app) and updating the “Last updated” date. Your continued use of the Service after the effective date of changes constitutes acceptance of the new Terms. If you do not agree, you must stop using the Service.

11. General

These Terms constitute the entire agreement between you and Voice Notes Lab regarding the Service. Our failure to enforce any right or provision does not waive that right or provision. If any provision is held invalid, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them without restriction. These Terms are governed by the laws of the United States and applicable state law, without regard to conflict of law principles.
